How much D&O coverage do I need?

Driven by company size, board structure, investors, and exposure profile. Pre-seed and seed-stage companies often start at $1M–$2M. Series A–B at $3M–$5M. Series C and later at $5M–$15M+. Public companies typically $20M–$50M+ for the primary tower with additional Side A protection. Healthcare practices with active boards but no outside investors usually carry $1M–$3M. The right limit reflects worst-plausible-claim severity, which for D&O has long tails — even a small private company can face a $5M+ derivative suit if a board member's decision goes badly wrong.
